These Terms of Service define the relationship between Harris Vision and the client entity. They start on the first invoice date or dashboard deployment, whichever comes first. No separate master agreement? Then this page applies.

Licence scope

Dashboard licence and usage

Your team gets a non-exclusive, non-transferable right to use the dashboard for internal business purposes. Need white-label rights? That can be licensed separately. Simple enough?

What you may do

Internal use, within your organisation.

    Use the dashboard for internal analysis and reporting. Share access with authorised staff only.

    Export your own data, subject to the service order and any agreed limits.

What you may not do

These limits protect the product.

  • No reverse engineering, copying, reselling, or public display without our written consent.

  • No attempts to bypass fair-use controls or security protections.

  • No transfer of licence rights to another business unless we agree in writing.

Ownership

You own the data you put in. We retain the intellectual property in the dashboard code, AI models, templates, and configurations we create. That split is deliberate, and it keeps projects clean.

Customisation

We can add bespoke features, branding, or deployment options under a separate order. If the build changes the commercial shape of the project, the paperwork changes too.

Payment terms

Fees and payment

Monthly or annual billing is set out in the service order. Invoices are due within 14 days. Late payment can lead to a pause after seven days' notice. Clear, fair, and not much mystery.

Risk and liability

Limitation of liability

We keep liability proportional to the service. The cap is the fees paid in the previous 12 months, and we don't accept indirect or consequential losses. That said, what about fraud or personal injury? Those rights stay untouched.

Liability cap

Total liability is capped at fees paid in the preceding 12 months.

Force majeure

We're not liable for events beyond reasonable control.

Indirect loss

No liability for consequential or indirect losses.

Non-excludable liability

Nothing excludes liability for death, injury, or fraud.

Termination

Term and termination

The agreement renews automatically unless either side gives 30 days' written notice. For material breach, there's a 14-day cure period. Simple, balanced, and predictable.

The initial term is whatever the service order says. After that, it renews automatically unless 30 days' written notice is given. Why complicate the basics?

Material breach

Either party can terminate for material breach if the breach isn't fixed within 14 days of notice.

Data return and deletion

After termination, we'll export client data within 30 days, then securely delete it. Confidentiality and IP clauses survive the end of the service.

Disputes

Governing law and disputes

These terms are governed by the laws of England and Wales, with the courts of London having exclusive jurisdiction. Before anyone reaches that point, we'll first try mediation through a recognised ADR body. Fair, right?
